A signed agreement is required for all sessions with Violeta Brown Photography.  
This agreement is put into place so you know exactly what a session with me entails and to ensure that I am able to deliver on your expectations. 
Please read all information carefully, you will also be sent a copy for your own records.

    BOUDOIR SESSION AGREEMENT

    NOTE* The Booking Fee applies as a retainer to hold your session date and time and is it  non refundable.
    Session Information & Understanding:
    This Agreement is written for Boudoir Photography. Boudoir photography, by definition, 
    includes nude, sexual or suggestive poses and themes. The signing of this contract states it is client’s 
    understanding and that it is their choice to participate in these photos, and the client will not hold 
    the studio responsible for any negative actions or feelings that may commence due to the images of
    this shoot. Based off the print/product agreement, the client is agreeable to the terms, conditions, 
    and timeline of the session, and the delivery of images and products. The client states that they are
    21 years or older. 
    Session Retainer and Payment. 
    The Client shall make a non-refundable retainer in the amount of $2,269.13 for the Photographer to perform the services specified herein. Upon payment, Photographer will reserve the time and date agreed upon by both parties.Payment for additional product orders shall be submitted to Photographer on the day of the in person viewing. Any payment plan agreements agreed to by Photographer and Client shall be included as an addendum to this agreement. A late payment fee of $25 shall be applied to the late payment amount in accordance with the payment plan agreement.  No products shall be delivered until the entire amount is paid in full.
    Payment Schedule:

    Check or money order there is a $25 fee for any returned checks. In the event of a previous returned check by client, studio reserves the right to refuse payment of checks in the future, in which case cash, money order, cashier’s check, and debit/credit will be accepted.

    Print Credit Policy
    Note that print credit cannot be exchanged for cash. 
    The value of the print credit will be deducted from the total cost of the chosen print or digital products.
    The remaining balance must be paid in full No products shall be delivered until the entire amount is paid 
    in full. Print credit cannot be redeemed against an existing booking.
    Schedule Arrangements:
    Due to the nature of the session a strict timeline will be enforced to ensure the package obligations are 
    met. Please be on time for your appointment. Hair & make up start at appointment start time. If you are
    late, your appointment will be for the time contracted, not for the hourly amount. The session will start 
    at the scheduled start time even if the client is tardy or unprepared the session end time will remain the 
    same. If additional time is needed, client will have the option to purchase based off the a la carte pricing
    menu for additional time. If you have more than one location for your session, the travel time going from 
    destination A to destination B so forth does count towards the total amount of the session time. The same applies for outfit changes; changing from one outfit to another does count towards the total amount of the session time The client is responsible for providing any props or outfits that are to be used within the session. Studio will not be held responsible for additional sessions needed due to forgotten items.
    Rescheduling
     In the event that the Client requests to reschedule a photographic event, the retainer shall be applied 
    to a rescheduled event if notice is given at least 15 days prior to the schedule event. Reschedule must be
    within the same calendar year. Any Client that is late arriving to the event will have the amount of time 
    late deducted from the time allotted for the event. Clients shall not be compensated for the time 
    deducted from the event due to late arrival of the Client.  Any cost for location usage will be paid for 
    by Client. Photographer maintains the right to reschedule if needed due to inclement weather, illness, 
    emergency, etc. at no additional costs to the Client.
    Cancellations
    If Client cancels, or fails to show, this agreement 30 or less calendar days before the agreed upon
    photographic event date and unable to reschedule the retainer shall be forfeited.
    Additional Fees:
    There are additional fees for the following: added time, additional outfit changes, 
    any products/prints/services not specified in the package purchased. Reference the ala carte pricing
    menu for specific pricing amounts. In the event that the client specifies a certain location to be used 
    during the shoot, the client is responsible for all location fees involved such as location access fees, 
    parking, etc. Client is also responsible for arranging the location access and any permits/passes related 
    to doing so.Additional fees may be assessed for the adding of more than one person within this boudoir 
    session.
    Cooperation: 
    Studio is not held responsible for behavior of parties involved with the shoot, with the exception of 
    studio personnel. If the desired outcome of your session is jeopardized by the behaviors of parties 
    involved with the exception of studio personnel, studio cannot be held responsible.
    Client Usage Rights/Copyrights: 
    The photographs produced by studio are protected by Federal Copyright Law (all rights reserved) and may not be reproduced in any manner without studio explicit written permission. It is a breach of this contract to reproduce the images in any form unless rights were purchased within the package for those images. Client reserves the right to post images on social networking sites such as FaceBook and Twitter. It is a breach of this contract to crop/hide studio logo.
    There will be limited copyright ownership of the images delivered on CD/DVD under these conditions: 
    Commercial use of these photos is prohibited. These images are for personal use only, and may be 
    reproduced for the purpose of sharing with friends and family.
    In the event that these photos will be published, sold for profit or used within marketing materials, the 
    client must obtain written permission from -- and compensate studio -- prior to the release. An additional
     contract will be needed at that time.

    Studio Usage Rights/Copyrights: 
    The Photographer shall own the copyright in all images created and shall have the exclusive right to
     make reproductions for, including but not limited to, marketing materials, portfolio entries, sample 
    products, editorial submissions and use, or for display within or on the Photographer’s website 
    and/or studio.
    The photography studio understands that boudoir photography is very personal and our studio respects
     your privacy. We will not share images online or in print without your permission. We never sell images
     to third parties. Because of this please mark the appropriate box regarding privacy & usage by our studio.

    Completion Schedule
    Completion schedules and delivery of products shall be determined from date of final approval by
    Client. Third-party manufacturing laboratories are utilized for products and may provide 
    restrictions on an order not outlined in this agreement.
    • Prints shall take 3 weeks from time of print order to be processed and delivered to Client.  
    • Albums shall take 4-6 weeks from date of final design approval by Client to be received by the 
    Photographer.  
    • Wall arts shall take 3-5 weeks from time of wall art order to be processed and delivered to Client.  
    Client should place orders with sufficient time to allow for normal delays and notify Photographer at 
    the time of the order if there are any extenuating circumstances requiring a quicker turn around. 
    An expedited fee of $200 shall be applied to expedited product requests. The Photographer shall not be
    held responsible for delivery delays due to the fault of manufacturing and/or delivery services.
    Use of Independent Contractor
    In the event a Photographer furnishes a hair and/or makeup artist, the Photographer is not liable for 
    any application or services by this independent contractor. This includes but is not limited to allergies 
    as a result of use of the products by the Independent Contractor. It is the Client’s responsibility to 
    convey all allergies to the Independent Contractor and make the payment to the Hair/Makeup artist
    Use of Alcohol
    The use of alcohol is permitted on the Photographer’s premises. The Client understands that
    consumption of alcohol prior to and/or during the session may negatively impact the results of the 
    images.
    Body Alterations
    The Photographer retains the right to cancel the session and retain the retainer amount if the Client
     has engaged in any body alterations within two weeks of the session. Body alterations are including,
     but not limited to, self-tanning (spray, bed, etc.), tattoos, piercings, surgeries, etc.
    Artistic Rights
    The Photographer retains the right of discretion in selecting the photographic materials released to 
    the client. The Client shall receive a gallery of at least 40 photographs to select from and shall not 
    receive any photographic materials not presented to the Client. The Photographer also retains the
    right to make adjustments to the photographs in post-processing as the Photographer deems within 
    their creative control. 
    Creative Control
    The Photographer retains creative control of the session. This control is including but not limited to the
     adjustment of hair, makeup, jewelry, clothing, and clothing straps.
    Photographic Materials
    All photographic materials, including but not limited to negatives, transparencies, proofs, and previews, 
    shall be the exclusive property of the Photographer. All orders must be placed within the outlined 
    schedules within this agreement. No products, including digital files, will be released until the agreed 
    upon amount is paid in full per the payment schedule outlined in this agreement.The Photographer shall
     make gallery proofs available through an agreed upon in-person product consultation. These proofs shall
     be available for viewing by the Client within two weeks of the photographic event. All orders shall be 
    placed during the in-person consultation.
    Failure to Perform
    If the Photographer is unable to perform this agreement due to illness, emergency, fire, casualty, strike,
     act of God or causes beyond the control of the Photographer, the Photographer and Client shall make 
    every attempt to reschedule the session. If a reschedule is unable to be agreed upon, Photographer shall 
    return the retainer to the client and shall have no further liability. Further, if the Photographer is unable 
    to deliver photographic materials due to technological malfunctions, including but not limited to camera 
    and processing, or otherwise lost or damaged without fault of the Photographer, liability shall be limited. 
    Photographer's Standard Price List
    The charges in this agreement are based on the Photographer’s Standard Price List. This price list is 
    adjusted periodically and future orders shall be charged at the prices in effect at the time when the order 
    is placed. 
    Travel and Overage Fees
    The Client shall pay $0.50 per miles outside the Spring/The Woodlands, TX area
    Arbitration
    Any controversy or claim arising out of or relating to this contract, or the breach thereof, shall be settled 
    by arbitration, administered in accordance with the Commercial Arbitration Rules of the American
    Arbitration Association, administered by a licensed Arbitrator in the jurisdiction closest to the 
    Photographer’s office and the arbitration award may be entered for judgment in any court having 
    jurisdiction thereof. Notwithstanding the foregoing, either party may refuse to arbitrate when the 
    dispute is for a sum less than $2350. In no event shall an award in an arbitration initiated under this clause 
    exceed the contracted price of the controversy in dispute.
    Indemnification
    The Photographer shall be held harmless for any and all injury to client during the course of the 
    photography session and the immediately surrounding events.
    Miscellany
    This Agreement incorporates the entire understanding of the parties. Any modifications of this
    Agreement must be in writing and signed by both parties. Any waiver of a breach or default hereunder
    shall not be deemed a waiver of a subsequent breach or default of either the same provision or any other
    provision of this Agreement. This Agreement shall be governed by the laws of the State of Texas. 
    Waivers
    The waiver of any breach of this Contract shall not constitute a continuing waiver or a 
    waiver of any subsequent breach of the same or a different provision of this Contract.
    Attorney's Fees
    If either party to this Contract brings a legal action against the other party to this Contract to secure
    the specific performance of this Contract, collect damages for breach of this Contract, or otherwise 
    enforce or interpret this Contract, the prevailing party shall recover reasonable attorney’s fees and all 
    costs, premiums for bonds, fees, and other expenses expended or incurred in the action in addition to 
    any other relief that may be awarded.
